II. Types of U.S. company registration

1. INC (Incorporated Company): This is currently the most commonly used corporate structure for Chinese individuals to register companies in the United States, as it does not involve double taxation. 2. Limited Liability Company (LLC): Chinese individuals often start their businesses in the United States by registering a limited liability company due to its simplicity. However, the costs are relatively high, tax filing is complex, and a Social Security Number (SSN) is required.

III. Information for registering a company in the United States

1. The name of the American company (in English) is required;

2. Provide scanned copies of the identity cards or passports of directors and shareholders (who must be at least 18 years old);

3. Provide the English signature of the chairman, with the given name before and the surname after, in pinyin form;

4. Provide the registered capital of the company (no capital verification required);

5. Determine the share allocation ratio of shareholders in the US company;

6. Determine the registered address of the U.S. company (in which state).

IV. Process of registering a company in the United States

1. Can the name of a US company be registered after conducting a search? (Submit one most satisfactory name, along with two alternative names.);

2. Determine the state of registration, as there are 50 states to choose from in the United States;

3. Prepare the registration documents for the US company: only the company name, basic information of the applicant, and the company's business scope are required

4. Submit the registration documents for the US company, which are usually submitted by a domestic agent to the local state company registration office in the United States;

5. Review by the U.S. company registration authority;

6. Upon successful registration of a company in the United States, a full set of company registration certificates will be mailed free of charge.
